Terms and Conditions
Delivery of services
Delivery is dependent on co-operation between deWinton-Williams consultants and the client personnel. Estimates of consulting time and fees are based on the assumption of full co-operation. Where a deWinton-Williams consultant is required to work on client premises, the client is asked to provide working facilities (desk space, telephone, photocopier) free of charge.
Professional standards
All deWinton-Williams consultants are fully qualified and chartered in their area of expertise. deWinton-Williams consultants will abide by the Code of Ethics and Professional Standards as set down by their professional bodies.
Charges
An estimate of required investment is included in the proposal on the basis of information given. The fee estimate covers the amount of consultancy time required to deliver the described services whether on client premises or elsewhere.
Work over and above that outlined in the proposal will be charged by the hour or by the half-day, whichever is the lesser. Additional work will be discussed and a fee estimate provided before fees are incurred.
All consultant fees are subject to VAT at 17.5% unless delivered to clients based outside the U.K.
All consultant expenses to include travel fares, accommodation and subsistence will be charged at cost. Excessive travel (3 hours or more) in office hours will be charged at 25% of the hourly fee. Psychometric profiling materials will be charged at cost. Photocopying will be charged at 10p per black and white page, 20p per colour page. Materials such as binders and folders are charged at cost. dewinton-Williams does not charge an administration fee.
Invoicing
deWinton-Williams Consulting Ltd will invoice on a monthly basis or at the end of a project, whichever is the shorter period. All charges, including VAT, are payable in fourteen days.
Cancellation
Where a project involves a scheduled event of one or more days’ duration cancellation charges will be levied as follows:
Over 28 days before event – no charge
28 to 14 days before event – 20%
13 to 7 days before event – 50%
6 days or less before event – 80%
Copyright and non-disclosure
Unless agreed in writing, the copyright in all materials delivered to the client in accordance with the project will be held by deWinton-Williams Consulting Ltd. Any deWinton-Williams proprietary data, materials and training modules disclosed within the project will not be publicised or distributed by the client without written permission from a deWinton-Williams director.
Confidentiality
deWinton-Williams consultants will not disclose any information about the client or the client business to any party outside the client business. Any specific, internal confidentialities or sensitivities will be respected. deWinton-Williams will not be responsible for breach of internal confidentialities not explained by the client at the start of a project or as sensitivity arises.
Acceptance The proposal and fee estimate will stand for a period of three months after submission. Thereafter, the fee estimate will be reviewed. Changes to the proposal will be discussed and agreed in writing. Written confirmation of acceptance is requested. In the absence of written confirmation, engagement of deWinton-Williams Consulting Ltd on this assignment will be regarded as full acceptance of these terms and conditions.
Termination
deWinton-Williams consultancy services can be terminated in writing by either side after consultation. In this event, deWinton-Williams Consulting Ltd will be paid in full for services delivered to the point of termination and cancellation charges may be charged. All deWinton-Williams proprietary data and materials, including copies, delivered up to the point of termination will be returned by the client to deWinton-Williams Consulting Ltd.
